ADJUDICATE REFERRAL PROGRAMME

TERMS & CONDITIONS

These Terms and Conditions apply to introductions made to Adjudicate under the Adjudicate Referral Programme.

By making an introduction under the Referral Programme, you agree to these Terms and Conditions.

1. The Referral Programme

The Adjudicate Referral Programme allows an individual or business to introduce a prospective new client to Adjudicate.

Where that introduction results in a Qualifying Appointment, Adjudicate will pay the referrer a referral fee of £500.00 from the Professional Fees actually received by Adjudicate for that Qualifying Appointment, subject to these Terms and Conditions.

The Referral Programme is an introduction scheme only. It does not create an agency, partnership, employment, representative or advisory relationship between Adjudicate and the referrer.

2. Making a referral

To make a referral, you must:

  • identify a person or business that you reasonably believe may require Adjudicate’s services;
  • obtain their permission to provide their contact details to Adjudicate;
  • make a direct introduction to Adjudicate; and
  • provide sufficient information for Adjudicate to identify you as the person making the introduction.

You should provide only the information needed to make the initial introduction.

Please do not provide contracts, correspondence, evidence, commercially sensitive material or other confidential information relating to the prospective client or dispute unless Adjudicate subsequently requests this directly from the prospective client.

3. What is a Qualifying Referral?

A referral will qualify for consideration under the Referral Programme where:

  • the prospective client is new to Adjudicate in relation to the matter being introduced;
  • the prospective client is not already in active discussions with Adjudicate about that matter;
  • Adjudicate has not already received an introduction to the same prospective client concerning the same matter;
  • the prospective client has agreed to being contacted by Adjudicate;
  • the introduction can reasonably be attributed to the referrer; and
  • the introduction subsequently results in a Qualifying Appointment.

Adjudicate reserves the right to determine whether a referral meets these conditions.

4. What is a Qualifying Appointment?

A Qualifying Appointment occurs where:

  • the referred prospective client appoints Adjudicate directly;
  • Adjudicate accepts the appointment;
  • the agreed Professional Fee for the appointment exceeds £5,000 excluding VAT and Third-Party Costs; and
  • Adjudicate receives payment from the client.

No referral fee becomes due merely because an introduction, conversation, assessment, meeting, proposal or quotation takes place.

5. Referral fee

For each Qualifying Appointment, Adjudicate will pay a fixed referral fee of £500.

The referral fee applies where Adjudicate’s Professional Fee for the Qualifying Appointment exceeds £5,000 excluding VAT and Third-Party Costs.

Only one £500 referral fee is payable for each Qualifying Appointment, regardless of the total value of the appointment.

6. Take the fee or donate it

Once a referral fee becomes due, the referrer may choose either:

Receive £500

Adjudicate will pay the £500 referral fee directly to the referrer, subject to receiving any information reasonably required for accounting, tax or payment purposes.

The referrer is responsible for any tax liability arising from the payment.

Donate £500

The referrer may instead ask Adjudicate to donate the £500 directly to Adjudicate’s nominated charity.

For 2026, Adjudicate’s nominated charity is Band of Builders.

Where this option is selected, Adjudicate will make the donation directly to the charity rather than paying the referral fee to the referrer.

7. When the referral fee becomes due

The £500 referral fee becomes due only when:

  • the referral has resulted in a Qualifying Appointment;
  • the Professional Fee for that appointment exceeds £5,000 excluding VAT and Third-Party Costs; and
  • Adjudicate has received payment from the referred client.

No referral fee is payable where the appointment does not proceed, the Professional Fee does not exceed £5,000, or the relevant fee remains unpaid.

8. One referral, one fee

Unless Adjudicate agrees otherwise in writing, a referral gives rise to a maximum of one £500 referral fee.

The referral fee does not automatically apply to subsequent disputes, additional instructions, separate projects, repeat appointments or future work undertaken for the referred client.

Any further referral arrangement must be agreed separately in writing.

9. You do not represent Adjudicate

A referrer is not authorised to act for or represent Adjudicate.

You must not:

  • provide advice on behalf of Adjudicate;
  • represent that you work for Adjudicate unless separately authorised to do so;
  • describe or interpret Adjudicate’s processes or case strategy;
  • quote, negotiate or agree fees on behalf of Adjudicate;
  • make promises or commitments on behalf of Adjudicate;
  • advise a prospective client whether they should commence adjudication or another form of proceedings;
  • become involved in managing the prospective client’s dispute on Adjudicate’s behalf; or
  • make any statement that could reasonably create the impression that you have authority to bind Adjudicate.

Your role under the Referral Programme is limited to making the introduction.

10. The client relationship

Following an introduction, Adjudicate will communicate directly with the prospective client.

Adjudicate will establish the circumstances, consider whether it can assist and decide whether it is willing and able to accept an appointment.

The prospective client is under no obligation to appoint Adjudicate.

Adjudicate is under no obligation to accept any prospective client, dispute or appointment.

Any appointment will be made directly between Adjudicate and the client under the applicable client engagement terms.

11. Confidentiality

Making a referral does not give the referrer any right to information concerning the prospective client or any subsequent matter.

Adjudicate will not disclose confidential client information, privileged material, case strategy, proprietary processes or other protected information to a referrer merely because they made the introduction.

Adjudicate may confirm information reasonably necessary to administer the Referral Programme, including whether an introduction has resulted in a Qualifying Appointment and whether a referral fee has become payable, where it is lawful and appropriate to do so.

12. Data protection

You must have the prospective client’s permission before providing their personal contact details to Adjudicate.

You should provide only the personal information reasonably required to make the introduction.

Adjudicate will process personal information in accordance with its applicable privacy policy and data protection obligations.

13. No guarantee of appointment or outcome

Participation in the Referral Programme does not guarantee that:

  • Adjudicate will accept an introduction;
  • the prospective client will appoint Adjudicate;
  • Adjudicate will accept a proposed matter;
  • a dispute will proceed to adjudication;
  • the referred client will recover any money; or
  • a referral fee will become payable.

Any decision to accept an appointment remains entirely with Adjudicate.

14. Professional and regulated referrers

If you are subject to professional, regulatory, employment or contractual obligations concerning referral fees, commissions, introductions or conflicts of interest, you are responsible for ensuring that accepting a referral fee from Adjudicate is permitted.

Where disclosure of the referral arrangement to the prospective client or another party is required by law, regulation, professional rules or your own contractual obligations, you are responsible for making that disclosure unless otherwise agreed in writing.

Adjudicate may decline to pay or participate in a referral arrangement where doing so could create a legal, regulatory, ethical or professional conflict.

15. Abuse of the Referral Programme

Adjudicate may reject a referral or withhold a referral fee where it reasonably believes that:

  • the prospective client did not consent to the introduction;
  • information supplied was false or misleading;
  • the referrer misrepresented their relationship with Adjudicate;
  • the referral involved unlawful or inappropriate conduct;
  • the referral was generated through unsolicited activity that breached applicable law or regulation; or
  • payment of the referral fee would breach a legal, regulatory or professional obligation.

16. Changes to the Referral Programme

Adjudicate may amend, suspend or withdraw the Referral Programme at any time.

Any change will not normally affect a Qualifying Referral already accepted by Adjudicate before the change takes effect, unless continuing the arrangement would create a legal, regulatory or professional issue.

17. Governing law

These Terms and Conditions and any dispute arising from the Referral Programme will be governed by the laws of Scotland.

The Scottish courts will have jurisdiction in relation to any dispute arising from these Terms and Conditions, unless Adjudicate specifies otherwise in the applicable written agreement.

18. Contact

To make an introduction, provide:

  • your name;
  • the prospective client’s name;
  • their company;
  • their telephone number and/or email address;
  • a brief description of why you believe Adjudicate may be able to help; and
  • confirmation that they have agreed to Adjudicate contacting them.

Please do not send contracts, evidence or confidential case information with the initial introduction.

You make the introduction. Adjudicate takes responsibility from there.
